These Terms of Service ("Terms") govern your use of the websites, mobile applications, and related services provided by C2C Energy Services Inc. ("C2C," "we," "our," or "us"). By accessing or using our Services, you agree to these Terms.

1. Services

C2C provides software and related services for project management, field documentation, photo and data collection, energy assessments, utility rebate documentation, reporting, and related business operations. We may modify, improve, suspend, or discontinue portions of the Services at any time.

2. User Accounts

Users may be required to create an account to access certain features. You agree to provide accurate information, maintain the security of your account credentials, notify us of unauthorized use, and be responsible for activities occurring under your account. You may not share accounts with unauthorized users.

3. Acceptable Use

You agree not to use the Services for unlawful purposes, upload false or fraudulent information, interfere with system operation or security, attempt unauthorized access to data or accounts, upload malware or harmful code, or use the Services in a way that violates privacy or intellectual property rights. We may suspend or terminate accounts violating these Terms.

4. Photos, Uploaded Content, & Project Data

Users may upload photos, videos, documents, notes, and other content ("User Content"). You retain ownership of your User Content. However, by uploading content, you grant C2C a non-exclusive license to store, process, display, organize, transmit, and back up such content solely for operating and improving the Services.

You represent that you have permission to upload the content, the content does not violate laws or third-party rights, and individuals photographed were lawfully present and documented as part of authorized project work.

5. GPS & Metadata

Photos and uploads may include metadata such as GPS location, date/time, and device information. This information may be used for project verification, utility rebate compliance, audit documentation, and internal reporting. Users are responsible for complying with local laws regarding photography and location tracking.

6. Third-Party Integrations

The Services may integrate with third-party systems including utility data providers, cloud storage providers, email platforms, mapping services, and thermostat or HVAC systems. C2C is not responsible for the availability, accuracy, or performance of third-party services.

7. No Professional Advice

Information provided through the Services is for operational and informational purposes only. C2C does not guarantee energy savings, utility incentive approvals, regulatory compliance, or equipment performance. Users remain responsible for project decisions and compliance obligations.

8. Data Storage & Availability

While we strive to maintain reliable Services, we do not guarantee uninterrupted availability. Users are encouraged to maintain backups of important project records and documentation.

9. Intellectual Property

The Services, including software, branding, logos, and related materials, are owned by C2C or its licensors and are protected by intellectual property laws. Users may not copy, reverse engineer, resell, modify, or distribute the Services without written permission.

10. Limitation of Liability

To the maximum extent permitted by law, C2C shall not be liable for indirect or consequential damages, lost profits, lost data, business interruption, utility rebate denials, delays caused by third parties, or project disputes between users and customers. The Services are provided "as is" and "as available."

11. Indemnification

You agree to defend and indemnify C2C against claims arising from your use of the Services, your uploaded content, violation of laws or third-party rights, or unauthorized project documentation or photography.

12. Termination

We may suspend or terminate access to the Services at any time if these Terms are violated, the Services are misused, required by law, or necessary to protect system security. Users may stop using the Services at any time.

13. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.
